Terms of service

These terms govern access to and use of Faheem Code (the "Service"), provided by SMART National Solutions ("we", "us"). By using the Service you agree to these terms on behalf of yourself and, where applicable, the organisation you represent.

1. The Service

Faheem Code runs AI software-engineering agents in isolated sandboxes on your behalf. Agents can read and change code in repositories you connect, run commands, browse the web, and call third-party services you configure. You decide what the agent may access and you review what it produces.

2. Accounts

You are responsible for the credentials used to access the Service and for all activity under your account. Notify us without delay if you believe an account has been compromised. Accounts issued for a pilot or evaluation may be limited in scope and duration.

3. Acceptable use

You may not use the Service to:

  • access systems, data or repositories you are not authorised to access;
  • develop or distribute malware, or attack third-party systems;
  • infringe the intellectual-property, privacy or other rights of others;
  • circumvent usage limits, security controls or sandbox isolation;
  • submit content that is unlawful in the Kingdom of Saudi Arabia or in your jurisdiction.

We may suspend access that we reasonably believe breaches this section.

4. Your content and output

You retain all rights to the code, data and prompts you provide ("Input") and to the code and other material the agent produces for you ("Output"). We use Input and Output only to provide and secure the Service, and as described in the privacy policy. You are responsible for reviewing Output before relying on it; agent output can be wrong, incomplete or insecure.

5. Third-party models and services

The Service sends prompts and context to large language model providers and to services you connect (source-code hosts, issue trackers, and similar). Their terms apply to that use. We do not control those providers and are not responsible for their availability.

6. Availability and support

We aim to keep the Service available but do not guarantee uninterrupted operation. Planned maintenance and incident handling are communicated to account owners. Support scope, response times and any service levels are set out in your order form or pilot agreement; otherwise support is provided on a reasonable-effort basis.

7. Fees

Fees, usage limits and billing terms are set out in your order form or pilot agreement. Evaluation access may be free of charge and may be withdrawn at any time.

8. Confidentiality

Each party keeps the other's non-public information confidential and uses it only for the purposes of the agreement between them. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law.

9. Intellectual property

The Service, including its software, models of operation, documentation and branding, is owned by SMART National Solutions and its licensors. These terms grant you a limited, non-exclusive, non-transferable right to use the Service for your internal purposes. No other rights are granted.

10. Warranties and liability

The Service is provided "as is" for evaluation and, for production use, as set out in your agreement. To the extent permitted by law, we exclude implied warranties, and our aggregate liability arising from the Service is limited to the fees you paid for the Service in the twelve months before the claim. Nothing in these terms limits liability for fraud, wilful misconduct, or where limitation is not permitted by law.

11. Termination

Either party may end the agreement as set out in the order form or pilot agreement. On termination your access ends and, on request, we delete your account data within thirty days, except where retention is required by law or for backups that expire on their normal schedule.

12. Changes

We may update these terms. Material changes are notified to account owners at least fourteen days before they take effect. Continued use after that date is acceptance of the updated terms.

13. Governing law

These terms are governed by the laws of the Kingdom of Saudi Arabia. Disputes are subject to the competent courts of Riyadh, unless your agreement provides otherwise.
